General Terms and Conditions of Solar for Schools Bildung gGmbH
1. Scope of Application
These General Terms and Conditions (GTC) apply exclusively to all business transactions between Solar for Schools Bildung gGmbH and the purchasers, unless otherwise agreed. We deliver exclusively to individuals and institutions active in the field of education, such as schools, kindergartens, universities, and other educational institutions. We also deliver to authorities, companies, and institutions that distribute our teaching materials to schools and educational facilities.
If an order deviates from these GTC, only our General Terms and Conditions shall apply, even if we do not expressly object. Deviations are valid only if expressly approved by us. If the purchaser disagrees with this arrangement, they must notify us immediately in writing. In such a case, we reserve the right to withdraw from the contract without any claims being asserted against us.
2. Conclusion of Contract
The inclusion of products or services in our website, catalog, or other materials does not constitute a binding offer. Only the purchaser’s order constitutes a binding offer valid for 14 days. We accept this offer either through written confirmation or by shipping the ordered goods.
Upon receipt of the order, we will deliver as soon as possible. If delivery within 20 working days is not possible, we will confirm the order and provide an estimated non-binding delivery date. Partial deliveries are permitted.
If we place an order with a third party (a covering transaction) to fulfill your order and that third party fails to deliver through no fault of ours, both we and the purchaser may withdraw from the contract. The purchaser will be informed promptly, and any payments will be refunded immediately.
In cases of force majeure or other disruptions (e.g., strikes), delivery times may be extended by up to three months without granting the purchaser a right of withdrawal.
3. Delivery Conditions and Shipping Costs
a) We deliver within Germany at our discretion regarding the shipping method: parcels up to 31 kg are sent by parcel service; heavier shipments by freight carrier. We do not deliver to Packstations. Shipping costs apply.
b) Shipments to other regions or countries, and express deliveries, are available upon request.
4. Transfer of Risk
Risk passes to the purchaser once the goods are handed over to the shipping company.
5. Notice of Defects
The contents of a shipment are deemed correct and free of defects unless the purchaser notifies us in writing within 14 days of receipt of any discrepancies or defects. The invoice date and number must be stated.
For justified and timely complaints, the purchaser may choose between replacement, cancellation, or price reduction. If we choose to replace and fail to do so, the purchaser may withdraw or demand a price reduction. Further claims, especially for consequential damages, are excluded.
6. Liability
We are liable for damages only in cases of intent or gross negligence, except for injury to life, body, or health, or breach of essential contractual obligations. Our liability is limited to twice the value of the ordered goods. This limitation does not apply under the Product Liability Act (§§ 1, 4 ProdHaftG).
7. Pricing
Prices are as listed on our website. Errors excepted.
8. Product Description, Model, and Color Changes
Our products are continually updated to reflect pedagogical and technical progress. If the manufacturer alters the product’s design or specifications, we may offer you an alternative product.
9. Right of Withdrawal
9.1. Withdrawal Right
You may withdraw from this contract within 14 days without giving any reason.
The withdrawal period begins when you or a designated third party (not the carrier) take possession of the goods.
To exercise your right, you must notify us (Solar for Schools Bildung gGmbH, Steinstr. 39 RG, 81667 Munich, hilfe@solarbildung.org) by clear statement (e.g., letter or e-mail). You may use our sample withdrawal form, though it is not mandatory.
9.2. Consequences of Withdrawal
If you withdraw, we will refund all payments received, including delivery costs (except additional costs for non-standard delivery), within 14 days of receiving your notice. Refunds will use the same payment method unless otherwise agreed. No fees will be charged.
We may withhold reimbursement until we have received the goods back or you provide proof of return.
You must return the goods within 14 days of informing us of your withdrawal. You bear the direct cost of return shipping. For bulky goods, return costs are estimated between €40 and €100.
You are only liable for loss of value if due to handling beyond what is necessary to check the goods’ nature and function.
The right of withdrawal does not apply to downloads of teaching materials.

10. Transport Damage
Transport damages (e.g., breakage) must be reported immediately to the carrier upon delivery and documented. Packaging must be kept until the issue is resolved. If reported within 5 days, Solar for Schools Bildung gGmbH will handle the claim.
11. Payment, Default, and Prepayment
Payments are due within 14 days of invoice.
Partial deliveries may be invoiced separately under the same terms.
In case of delay, reminder fees of €3 per notice and interest charges apply. We may require prepayment or cash on delivery for future orders if prior invoices were unpaid.
If a prepayment invoice remains unpaid for 30 days, the order will be canceled.
12. Retention of Title
Goods remain our property until full payment is received. Upon request, we may release securities if their value exceeds the secured claim by 20%.
13. Data Protection
We collect and process your data solely for order fulfillment and under applicable law. Data is only shared with service providers (e.g., shipping, payment) required to complete your order, and these parties must comply with our privacy policy and legal obligations.
You have the right to access, correct, delete, restrict, or transfer your data, and to lodge complaints with supervisory authorities. Data is deleted once no longer necessary, unless legal obligations require retention.

14. Jurisdiction, Place of Performance, and Applicable Law
Place of performance and jurisdiction is Munich, if the purchaser is a business entity or public-law institution.
German law applies, excluding the UN Convention on Contracts for the International Sale of Goods (CISG).
15. Severability Clause
If any provision is invalid, the remaining provisions remain valid. The invalid clause shall be replaced by one reflecting its intended purpose as closely as possible.
16. Warranty
Warranty period: two years from delivery. This does not limit your statutory rights.
Warranty covers material and manufacturing defects; we will repair, replace, or refund, at our discretion. Applies only to deliveries within Germany.
Exclusions: wear, misuse, accidents, theft, water/sand damage, or improper care. No liability for consequential damages.
